• Inspection of all merchandise received at the jobsite is the responsibility of the purchaser. Any damage or imperfections must be noted on trucking receipt by the trucker and purchaser (signed and dated).Luparello & Sons Lighting Corp. will not be responsible for any damage not noted on the trucking receipt.
• The purchaser agrees to hold Luparello & Sons Lighting Corp. harmless from any claims, judgments or lawsuits (etc.) for defect in manufacturing or or incorrect installation by purchaser or purchaser's subcontractor.
• There is a 10% cancellation charge for termination of any order as liquidated damages. The parties agree that in the event of cancellation prior to release, Luparello & Sons' damages might be impossible to ascertain and that 10% of the entire purchase price constitutes a fair and reasonable amount of the order is released damages under the circumstances and is not a penalty. • No retainage will be permitted for any project.
• Please note any changes within 3 to 5 days of the original purchase order. If no written changes are received, this contract/purchase order is as stated in this contract/purchase order is as stated in this acknowledgment and is binding for all parties.
• This acknowledgement supersedes any past or present documents that agreed upon a contract price or order.
• All waivers of lien pertaining to your project will not be valid until your check has been received and cleared.
• Attorney’s Fees: In the event of Buyer’s breach of this Agreement, Luparello & Sons Lighting Corp., in addition to any other remedies it may have, legal or equitable, is entitled to reimbursement of reasonable attorneys’ fees, costs and disbursements. Purchaser understands and agrees to meet Luparello & Sons Lighting Corp.'s Terms of Sale as stated above.
